Terms of Use

1. Acceptance of these terms

These Terms of Use ("Terms") govern your access to and use of the Rebecca website and the Rebecca WhatsApp assistant service (together, the "Service"), provided by Rebecca AI Limited ("Rebecca", "we", "us"). By creating an account, connecting your accounting software, or messaging Rebecca on WhatsApp, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

2. Who can use Rebecca

  • You must be at least 18 years old and using Rebecca for business purposes, not as a consumer.
  • You must have the authority to connect your business's accounting software (e.g. Xero) and to bind your business to these Terms.
  • You are responsible for ensuring that anyone in your business who messages Rebecca (e.g. staff) does so appropriately and in line with these Terms.

3. Description of the service

Rebecca is a WhatsApp-based assistant that connects to your accounting software (currently Xero, with further integrations planned) to help you answer questions about your finances, create and send invoices, capture and reconcile receipts, and clarify transactions, based on instructions you send by text or voice note.

Rebecca is a productivity tool, not a qualified accountant, bookkeeper, tax adviser or financial adviser. Rebecca does not provide accounting, tax or legal advice, and nothing in the Service should be relied upon as such. You remain responsible for the accuracy of your accounts and for your compliance with all applicable tax and accounting obligations, and we recommend you continue to work with a qualified accountant or bookkeeper.

4. Accounts and subscriptions

  • To use Rebecca you must create an account, connect a supported accounting software account, and subscribe to a paid plan (base plan currently £9.99 per month for Xero users, as shown on our pricing page at the time you subscribe).
  • Subscriptions renew automatically each month unless cancelled before the next billing date. You can cancel at any time through your account settings; cancellation takes effect at the end of the current billing period.
  • Fees are billed in advance and, except where required by law or expressly stated otherwise, are non-refundable.

We may change our fees on reasonable notice (at least 30 days); continued use of the Service after a fee change takes effect constitutes acceptance of the new fee.

5. Third-party services

The Service relies on third-party platforms, including the WhatsApp Business API (operated by Meta) and your connected accounting software (such as Xero). Your use of these platforms is also subject to their own terms and privacy policies. We are not responsible for the availability, performance, security or acts or omissions of these third-party platforms, and the Service may be unavailable or degraded if they experience outages or change their terms or technical requirements.

6. Your responsibilities

  • Provide accurate, current information when creating your account and when messaging Rebecca.
  • Review the invoices, reconciliations, receipts and other records Rebecca creates or updates on your behalf, in the same way you would review the work of any assistant, before relying on them.
  • Keep your WhatsApp account, device and accounting software login details secure, and notify us promptly of any suspected unauthorised access.
  • Only send Rebecca information you have the right to share, including where receipts, invoices or messages contain other people's personal data.

7. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose, or in a way that infringes the rights of others.
  • Attempt to reverse engineer, decompile, or interfere with the Service or its underlying systems.
  • Use the Service to send spam, abusive content, or attempt to overwhelm or misuse the WhatsApp channel.
  • Misrepresent your identity or authority to act on behalf of a business.
  • Use the Service to process data for a business other than your own without our agreement.

8. Accuracy and limitations of the Service

Rebecca uses automated and AI-based processes to interpret your messages and update your accounting records. While we design the Service to be accurate and reliable, automated interpretation of messages, receipts and voice notes may occasionally be incomplete or incorrect. You should review outputs before relying on them for tax filings, payments, or other important decisions, and involve your accountant where judgement is required. We are not liable for losses arising from your failure to review or verify information provided by Rebecca.

9. Intellectual property

We and our licensors own all rights, title and interest in the Service, including its software, design, trademarks and content. These Terms do not grant you any rights to our intellectual property other than the limited right to use the Service in accordance with these Terms. You retain ownership of the data and content you submit to Rebecca ("Your Data"), and grant us a licence to use Your Data solely to provide and improve the Service.

10. Suspension and termination

  • You may stop using the Service and cancel your subscription at any time via your account settings.
  • We may suspend or terminate your access if you breach these Terms, if we reasonably suspect fraud or misuse, if required by a third-party platform we depend on, or if we discontinue the Service, in which case we will give you reasonable notice where practicable.
  • On termination, your right to use the Service ends immediately, though provisions which by their nature should survive (including intellectual property, disclaimers and limitation of liability) will continue to apply.

11. Disclaimers

The Service is provided "as is" and "as available". To the fullest extent permitted by law, we exclude all warranties, whether express or implied, including any warranty that the Service will be uninterrupted, error-free, or fit for a particular purpose beyond what is expressly stated in these Terms.

12. Limitation of liability

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded or limited under English law.

Subject to the above, our total liability to you arising out of or in connection with the Service, however arising, is limited to the greater of £100 and the total fees you paid us in the 12 months preceding the event giving rise to the claim. We are not liable for any indirect, special or consequential loss, including loss of profits, loss of data, or losses arising from tax penalties, HMRC action, or third-party platform outages, to the extent permitted by law.

13. Indemnity

You agree to indemnify us against any claims, losses or expenses arising from your breach of these Terms, your misuse of the Service, or your violation of any law or third-party right.

14. Governing law and jurisdiction

These Terms are governed by the laws of England and Wales, and any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

15. Changes to these terms

We may update these Terms from time to time. We will post the updated Terms on our website with a new "last updated" date and, where changes are material, take reasonable steps to notify you. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
